FAQ

Clear answersto common questions.

General answers about incorporation, pay and our offer. For your situation, let's talk.

Do I have to incorporate?

No. Incorporating mainly pays off when your practice earns clearly more than you need to live on; otherwise it mostly adds cost and paperwork. We run the numbers with you before recommending anything.

What does the free incorporation include?

Our incorporation fees and the government start-up fees: Registraire des entreprises ($397, plus $27 if a name reservation is needed) and, depending on your profession, the Collège des médecins authorization ($500 per physician) or the Ordre des dentistes initial declaration ($100 per dentist shareholder). If you're opening your practice or clinic, the business plan for your bank is included too.

What's the condition?

Keep our annual Incorporated Professional package (pricing explained during the free consultation) for at least 12 months from signing. If you end the engagement before 12 months, the incorporation costs are repaid pro rata to the remaining months.

Can you prepare a business plan for my bank?

Yes. If you're opening your practice or clinic, we prepare the business plan for your bank at no cost: financial projections, start-up budget and financing needs. It's included in the offer, on the same terms as the free incorporation (a 12-month engagement to the annual package). The financing decision rests with the bank.

Does the offer apply to dentists?

Yes, on the same terms: a 12-month engagement and start-up fees included, including the Ordre des dentistes initial declaration. The FARPODQ premium for the corporation is not included.

Salary or dividends?

Salary creates RRSP room and QPP contributions; dividends don't. Most incorporated professionals use a mix, reviewed every year based on your needs and the current rules.

I'm a resident or student. When should I talk to you?

Before your first year of independent practice, to plan for tax, instalments and the right time to incorporate.

Can my family hold shares?

Yes, within limits and without voting rights. For physicians, the Collège allows the spouse, relatives and in-laws; for dentists, the regulation covers the spouse and relatives in the direct or collateral line. Since 2018, the tax on split income rules sharply limit the tax benefit of dividends paid to family.

Dentists: will RAMQ pay my corporation?

For the part of your services RAMQ covers (notably children under 10, financial-assistance recipients with a claim booklet and some oral surgery in hospital), yes: the corporation opens a collective administrative account. Most of your fees are private, though (patients and insurers), and are billed directly by the corporation.

How long does it take?

For a physician, allow about 14 business days for the Collège authorization and 4 to 6 weeks for the RAMQ account, after incorporation. For a dentist, the Ordre and FARPODQ timing is [to verify]. We give you a precise timeline on the call.

Do you offer a fractional CFO for my clinic?

Yes, for owners of dental and medical clinics: budget and cash flow, a monthly dashboard, financing, support with buying or selling a clinic, team compensation and a monthly meeting. It is a separate engagement, billed monthly at three levels: Essential, about $1,500; Growth, about $3,000; Strategic, from about $5,000 per month, plus taxes.

Is the fractional CFO part of the free incorporation?

No. The free incorporation offer is tied to the annual Incorporated Professional package. The fractional CFO is a separate, optional service with its own monthly rate. For a formal business valuation, we work with a Chartered Business Valuator (CBV).

Are the shareholder agreement and trust or holding company structures included?

No, they are add-on services and are not part of the free incorporation: legal opinions, the shareholder agreement, and trust or holding company structures, handled with our partner tax specialists and lawyers.

Do you also do my personal taxes?

Yes. Your T1 and TP-1 are prepared together with the corporation's T2 and CO-17, so you see the full picture.

Are my services taxable (GST/QST)?

Most health services provided by a physician or dentist are exempt. Some services, such as cosmetic services or reports for non-medical purposes, can be taxable [to verify for your situation].

Do you work remotely, in English and French?

Yes. We are a virtual firm: video meetings on Google Meet or phone calls, anywhere in Quebec, in the language you prefer. Documents go through our secure client portal.

How do you protect my information?

We never ask for your SIN, banking details or ID by email. They are sent only through the secure client portal, after our call.
